Non-Disclosure

1. DISCLOSER AND RECIPIENT
   UNVRSL Group, the party giving information shall be referred to as “the discloser” and any person receiving information shall be referred to as “the recipient”.
   
   
2. NATURE OF INFORMATION
   All information of any nature disclosed or made available by the discloser to the recipient in connection with their discussions, oral or written, shall constitute confidential, proprietary and trade secret information (collectively referred to as “the information”) of the discloser, with exception of such information –
   • any information already in the public domain at the time of disclosure or thereafter becomes part of the public domain otherwise than by breach of this agreement;
   • the recipient possessed prior to the disclosure thereof;
   • any information, the disclosure of which is required by any applicable law or any court order or by any supervisory or regulatory body.
     
     
3. CONFIDENTIALITY UNDERTAKING
   The recipient shall at all times, unless otherwise agreed in writing by the discloser, hold the information furnished by the discloser and the reports in strict confidence and shall use such information and the reports solely in connection with the recipient’s internal evaluation of the possibilities of the business association.
   
   
4. GOOD FAITH
   By accessing the website, the parties agree that they enter into this agreement on the basis of trust and record that they will observe good faith in contracting and dealing with each other and implementing the provisions hereof. This implies, inter alia, that they:
   • will at all times during the currency of this agreement act reasonably and in good faith; and
   • will perform their obligations arising from this agreement diligently and with reasonable care.
     
     
5. SOUTH AFRICAN LAW AND GENERAL PROVISIONS
   This agreement shall be governed by, construed, and interpreted in accordance with the laws of the Republic of South Africa.
   
   
6. TIMELINE
   Notwithstanding anything to the contrary contained herein the provisions of this agreement shall bind the parties for a period of 18 months from the date of signature hereof by the last-signed party.
   
   
7. NOT AN OFFER TO THE PUBLIC
   The content of this website does not constitute an offer to the public and is made exclusively to eligible medical specialists approached individually and to whom the information is delivered personally.
